1. Definitions
- “Site/System” means MaxisAI's website, applications, platforms, and any standard software or AI product made available by MaxisAI.
- “Services” means the standard software products and AI-enabled products provided by MaxisAI.
- “User,” “You,” and “Your” mean the individual accessing the Site/System, or, where applicable, the legal entity on whose behalf access occurs.
- “Customer” means the organization that has contracted with MaxisAI for use of the Services.
2. Acceptance and Authority
By accessing this Site/System, you represent and warrant that:
- You are the individual authorized to access the Site/System;
- You have the lawful right, authority, and capacity to enter into and be bound by these Terms and to perform the obligations contemplated hereunder;
- If you are accepting these Terms on behalf of a company or other legal entity, you have the authority to bind that entity, and in that event “You” and “Your” refer to that entity; and
- If you are a legal entity permitting an employee or authorized user to access the Site/System through your account (“Employee”), you have the authority to bind that Employee and, in that event, “You” and “Your” refer to that entity and its Employees.
3. Acceptable Use
Users and employees of a Customer entity must comply with all terms specified in these Terms and, where applicable, the Customer’s own acceptable use policy. You agree not to use the Site/System to: (a) violate any applicable law or regulation; (b) upload or transmit malicious code; (c) attempt to gain unauthorized access to any part of the Site/System; (d) interfere with or disrupt the integrity or performance of the Site/System; or (e) use the Services in a manner inconsistent with their intended clinical, life sciences, or research purpose.
4. Account and Password Security
Users are responsible for the proper use and safekeeping of their credentials and must follow their company’s password policy. Revealing your account information or password to others, or permitting use of your account or login credentials by others, is strictly prohibited and may violate your company’s policies.
5. Authorized Access and Misuse
Only authorized individuals may log in to the Site/System. Unauthorized access will be treated as a violation of the access rights granted, and MaxisAI and/or the relevant Customer may take disciplinary or legal action, including suspension or termination of access, consistent with applicable policies and law.
6. Data Protection and Lawful Processing
You must access and process data through the Site/System lawfully and in compliance with all applicable regulations and your organization’s standards and policies. You agree that you will only import, export, modify, delete, change, transmit, or otherwise make data available through the Site/System that you have the right and authority to handle. MaxisAI’s collection and use of personal information in connection with the Site/System is described in our Privacy Policy, which is incorporated into these Terms by reference.
7. AI-Enabled Product Terms
Where the Services include AI-enabled functionality, the following additional terms apply:
- AI-generated outputs are intended to support, and not to replace, qualified human review and professional judgment, particularly within GxP-regulated clinical and life sciences workflows;
- You are responsible for independently validating any AI-generated output before relying on it for regulatory submissions, clinical decision-making, or other GxP-regulated purposes, consistent with your organization's own validation and quality procedures;
- MaxisAI does not use Customer data to train shared or third-party AI models without prior written consent from the Customer; and
- MaxisAI does not warrant that AI-generated output will be free of error, and such output should be treated as a decision-support aid rather than a substitute for validated processes.
8. Confidentiality
Each party agrees to protect the other party’s confidential information with the same degree of care it uses to protect its own confidential information of similar nature, and in no event with less than a reasonable degree of care, consistent with ISO/IEC 27001:2022 compliant information security practices.
9. Accidental Loss or Intentional Damage
While using the Site/System, the user or the Customer organization is solely responsible for any loss to data or systems arising from unintentional or intentional acts committed through their access, except to the extent such loss results from MaxisAI’s failure to maintain the safeguards described in its Privacy Policy or applicable Customer agreement.
10. Privacy Practices
Users and employees accessing the Site/System must obey and adhere to the privacy policies and practices that their own organization follows, in addition to MaxisAI’s Privacy Policy.
11. Intellectual Property Rights
The Site/System and the workflows, software, and AI models provided in or through it are the intellectual property and copyrighted works of MaxisAI and are protected under applicable intellectual property laws. No rights are granted to you other than the limited right to access and use the Site/System in accordance with these Terms and any applicable Customer agreement.
12. Disclaimer of Warranties
The Site/System and Services are provided on an “as is” and “as available” basis. Except as expressly set out in a separate written agreement between MaxisAI and a Customer, MaxisAI makes no warranties, express or implied, regarding the Site/System or Services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
13. Limitation of Liability
In no event shall MaxisAI be liable for any direct, indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or data use, incurred by the user, employee, or any third party, whether in an action in contract, tort, or otherwise, arising from your access to or use of the Site/System or any content provided on or through it, except to the extent such liability cannot be excluded under applicable law.
14. Indemnification
You agree to indemnify and hold MaxisAI harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site/System, or violation of applicable law.
15. Term, Suspension, and Termination
MaxisAI may suspend or terminate your access to the Site/System at any time, with or without notice, for conduct that violates these Terms, poses a security risk, or is otherwise harmful to MaxisAI, other users, or third parties. Provisions of these Terms that by their nature should survive termination (including intellectual property, confidentiality, disclaimer of warranties, and limitation of liability) will survive.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict of laws principles, except where a separate written agreement between MaxisAI and a Customer specifies otherwise. Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiation between the parties.
17. Compliance with Laws
Users must comply with all applicable laws and regulations in connection with their use of the Site/System, including applicable data protection, export control, and life sciences regulatory requirements.
18. Changes to These Terms
MaxisAI may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or Services. Continued use of the Site/System after changes take effect constitutes acceptance of the revised Terms.
